Ruden McClosky's International Law Practice Group provides comprehensive representation in the areas of corporate and commercial transnational law and investment. We have represented clients in many diverse industries and professions including private and public corporations and partnerships; banks and financial institutions; governmental entities; real estate developers; importers; exporters; maritime companies; manufacturers; franchisors; investors and lenders; and individuals.
Our international law attorneys are highly experienced and knowledgeable in regard to the cultures, government infrastructure and international organizations of Latin America, and what is required to successfully conduct business in foreign countries. In addition, the Firm has close relationships and alliances with lawyers and law firms throughout the world upon whom we can call for assistance.
Our international law attorneys assist foreign companies, -- including companies engaged in regulated industries such as banks, broker-dealers and investment advisors --in forming subsidiaries or representative offices in the United States. Our attorneys assist foreign companies engaging in financing transactions and acquisitions, and they offer counsel regarding commercial operations.
Our international law attorneys are experienced in sophisticated domestic and international tax planning, as well as corporate securities law. Their experience includes negotiating and preparing international joint ventures, license, distributorship and franchise agreements among domestic and foreign businesses and governments. In addition, our attorneys are highly skilled in handling complex litigation involving multiple parties and claims, and whose representation includes both foreign clients in domestic litigation and domestic clients in cross‑border disputes.
Our attorneys also assist clients with project finance. We represent project sponsors, lenders and investors in connection with the development, financing, construction and operation of domestic and international capital intensive projects, including thermal energy generation facilities, oil refineries and other major infrastructure assets.
Our attorneys have assisted clients in formation of off-shore entities, including insurers and banks. We have also assisted foreign clients in connection with commercial paper and medium-term note programs, euro dollar and foreign currency denominated loan facilities and securities offerings.
In addition, we have advised foreign and U.S. clients regarding foreign currency swaps and other derivative transactions.
Our mergers & acquisition experience includes representation of U.S. clients in making acquisitions that include foreign operations as well assisting foreign clients in the acquisition of U.S. companies.
Recognizing the growing complexity of intellectual property law, our attorneys possess the experience necessary to advise clients on how best to protect their rights. We represent foreign and domestic businesses of all types including high technology companies, universities and research institutes in protecting, licensing and transferring biomedical, pharmaceutical, chemical, mechanical and electrical technologies and other intellectual property, throughout the world.
